Solstad - Subsea construction & renewable energy

Normand Jarstein

Normand Jarstein has been awarded a contract to operate within the renewables segment. The client is Siemens and the vessel will support their operations at the Alpha Ventus field. She will be mobilized with a W2W system supplied by Ampelmann. The contract has a duration of around one month and is scheduled to commene in August. options.

Normand Mermaid
Normand Mermaid has been awarded a seasonal fixture by undisclosed EPIC contractor in the North Sea. Mobilization is set in August, the contract includes delivery of WROV and Survey services.

Normand Pacific successful operations in the Mediterranean
Normand Pacific has recently completed a cable survey, trenching and installation of concrete mattresses off Italy. The vessel, ST 256 L CD design, has a length of 122 meters and a beam of 23 meters, equipped with 200T AHC crane and 120 bunks onboard. She has been under long term charter with Prysmian since year 2016. The vessel is now undergoing her 10 year special class survey in Gibraltar.

Contract extensions in Brazil

Solstad Offshore ASA is pleased to announce several contract extensions in Brazil with Equinor and Total.

Equinor Brazil has extended the contracts for the PSV’s Sea Brasil by 1 year until December 2021 and Far Scotsman by 6 months until May 2022.

Both vessels will continue to support Equinor on their operation and development activities in Brazil.

In addition, Total E&P do Brazil has extended the contracts for the PSV Normand Swift and the AHTS Far Sagaris until December 2020 to support Total’s activities in the Lapa Field.

During the charterperiod, Far Sagaris will be replaced by Far Scout, as Far Sagaris will commence a 3-year contract with Petrobras (ref. Notice to Oslo Stock Exchange dated 16. June 2020).

DOF Subsea awarded contracts in APAC region

DOF Subsea is pleased to announce two significant contract awards in the APAC
region.

In Australia: Chevron Australia has awarded DOF Subsea an IMR Services Contract
to Support Chevron's North-West Shelf and near shore subsea assets in Australia
with DP Vessels, ROVs, AUVs, Intervention, Inspection, Management and
Engineering Services. This key award builds on previous successful IMR campaigns
over the life of the existing IMR services contract and secures a further 5-year
term under the new contract.

In South East Asia: DOF Subsea has secured a substantial contract for a moorings
replacement and rectification project. With onshore works underway, the offshore
campaign is scheduled mid Q3 2020. The project will provide significant
utilisation for resources and vessels - Skandi Hercules and Skandi Singapore -
throughout Q3 and early Q4 2020.

Contract award for three vessels in Australia

Solstad Offshore ASA is pleased to confirm that the AHTS Normand Saracen, AHTS Far Senator and dual fuel powered PSV Normand Leader will continue operations in Australia during 2021.

After the previously announced contract with BP (ref. notice to Oslo Stock Exchange 3. August 2020), the three vessels will provide support to a major drilling campaign offshore North Western Australia from Q2 2021 for approximately 7.5 months with optional periods thereafter.

During the campaign the vessels will operate in connection with a moored semi-submersible drilling rig, with the base port being Dampier.

Contract award in Taiwan

Solstad Offshore ASA (“Solstad”) has been awarded a contract with an undisclosed EPIC contractor for the CSV Normand Baltic. The vessel will be utilized in the development phase of an Offshore Wind project in Taiwan. The contract will commence during 1st half 2021 and have a duration of up to 220 days.

With this contract for Normand Baltic, Solstad continue to expand its activity within offshore wind, both in Europe and Asia.

Contract for CSV Normand Vision with Ocean Installer

Solstad Offshore ASA has been awarded a contract with Ocean Installer for the CSV Normand Vision. The contract commences in 1Q and the firm and optional periods covers the majority of 2021.

Normand Vision is a high capacity Construction Support Vessel designed and built for installation of Subsea Structures, Umbilicals, Risers and Flowlines (SURF). The vessel was delivered in 2014 and has worked for Ocean Installer most of the time since then.

DOF Subsea awarded multiple contracts in the Atlantic region

DOF Subsea is proud to announce multiple new contracts in the Atlantic region.

The contract awards include work within our core service lines - Survey, Inspection, Maintenance & Repair and Decommissioning. A selection of the vessels in the DOF Subsea fleet shall be deployed to undertake the work, including Skandi Acergy, Skandi Seven and Skandi Skansen. The work is planned for execution in Q3 and Q4 2020 and totals above 150 offshore vessel days.

CONTRACT AWARD

Reach Subsea ASA ("Reach") and MMT Group AB ("MMT") have been awarded a contract with a major European energy company for a cable route survey. The campaign, which involves use of our high speed survey ROV the Surveyor Interceptor onboard Havila Subsea, has two phases and will be conducted during 4Q 2020 and in 2021.

With the addition of this contract, our schedule for 4Q and the winter season is improving. Reach now has approximately 1,100 project days (equivalent to about 1,800 ROV days) for 2Q-4Q 2020 execution, and about 350 project days (550 ROV days) for 2021 execution.

DOF Subsea awarded multiple contracts by Petrobras

DOF Subsea is proud to announce four new contracts with Petrobras.

The contracts include work within our core service lines for Survey and Inspection. At least three vessels from the DOF fleet shall be mobilised to perform flexible pipeline, risers and subsea equipment inspection in Campos Basin, Santos Basin, Marlin Field and Espírito Santos Basin.

The contracts are worth more than USD 110 million with planned commencement in Q4 2020 and estimated to be performed within 550 days.

DOF ASA: AKASTOR ASA TO ASSUME FULL OWNERSHIP OF A RESTRUCTURED DOF DEEPWATER AS

DOF Deepwater AS ("DOF Deepwater"), which is jointly owned by DOF ASA ("DOF") and Akastor ASA ("Akastor"), has today entered into a term sheet with its lenders on a restructuring of its debt that is intended to secure continued operations up to the second half of 2023. The closing of the debt restructuring is conditional upon necessary support from DOF's secured lenders. As part of this agreement DOF shall transfer all of its shares in DOF Deepwater to Akastor, who thereby will own all of the shares in DOF Deepwater and assume full operational responsibility over the company and its five vessels (Skandi Emerald, Skandi Peregrino, Skandi Saigon, Skandi Pacific and Skandi Atlantic). DOF will continue as vessel manager for the fleet. As a consequence of the change in ownership DOF and Akastor will however discuss the terms in the management agreements. For further details on the restructuring, reference is made to the Akastor ASA stock exchange notice concerning the same.

The terms and conditions of the DOF ASA unsecured guarantee obligation equal to 50% of the current debt in DOF Deepwater will be separately agreed between the DOF ASA group (the "Group") and its secured lenders. The DOF guarantee obligation will also be reduced by any profit received by the lenders to DOF Deepwater under a profit split arrangement following a sale of the DOF Deepwater vessels within a period of 2,5 - 3 years after closing.

Closing is subject to final agreements being entered into, and is expected to take place in Q3 2020.

GC Rieber Shipping - Shearwater receives Mauritania 3D exploration award from Total

GC Rieber Shipping ASA's 19% owned geoservices company Shearwater GeoServices Holding AS ("Shearwater") is pleased to announce it has received an award for a large towed streamer 3D acquisition and Fast Track processing project by Total E&P Mauritania.

The exploration survey covers 6,000 sq. km in the C15 and C31 Blocks using an ultra-wide tow Flexisource configuration, the largest triple source spread to date, together with Fast Track processing enabled by Shearwater's proprietary Reveal software. The two-and-a-half-month survey is scheduled to commence in Q3 2020, adding to other recent activity in North West Africa for Shearwater, and will be carried out by the SW Empress (formerly "Polar Empress").

DOF Subsea awarded contract in the Atlantic region

DOF Subsea has been awarded a turnkey contract performing marine operations in connection with a decommissioning project by Teekay Petrojarl Floating Production.

The award covers project management, engineering, procurement and all offshore marine operations. The offshore works include preparatory works at the sites including installation of a temporary mooring system, towing operations and recovery of risers and mooring systems.

DOF Subsea will utilize a variety of vessels from the DOF Group fleet, deploying Skandi Acergy, Skandi Iceman, Skandi Hera in addition to selected third party vessels to deliver the scope. The project has already commenced and is scheduled to be completed within Q4 2020.

Contract award within Offshore Wind in Taiwan

Solstad Offshore ASA (“Solstad”) is pleased to announce that the company has signed an agreement with Ørsted for hire of the CSV Normand Jarl to support Ørsted on their project Greater Changhua 1 & 2a Offshore Wind Farms in Taiwan. The firm period on the contract is 15 months with options to extend the contract with 5x1 months.

Commencement of the contract will be during Q2 2021, in Taiwan.

CEO, Lars Peder Solstad, in Solstad says. “It is very encouraging, within a short time, to announce our second contract within Offshore Wind in Taiwan. Ørsted is one of the main players in this industry and we are proud to have been selected as their partner on this project”.

DOF Subsea awarded multiple contracts across the North America Region

...The Group has secured contracts for pre-lay and LBL array installation activities in Guyana, subsea installation work in Trinidad and well-head removal work in Canada. All three contract awards will utilise Skandi Neptune.

NEW CONTRACT AWARD

Reach Subsea ASA ("Reach") has been awarded a contract from a new tier 1 client involving 50 project days of survey and construction support in the North Sea. The project will be executed together with our cooperation partner MMT Sweden during the summer season with planned use of the Topaz Tiamat for this project.

Reach now has approximately 800 project days (about 1,400 ROV days) for 2020 execution, and about 250 project days (400 ROV days) for 2021 execution.

REVISED CHARTER AGREEMENT FOR TOPAZ TIAMAT

Reach Subsea ASA ("Reach") and P&O Maritime Logistics have agreed on a revised charter agreement for the vessel Topaz Tiamat. Under the revised agreement, Reach will operate the vessel for the remainder of the 2020 season on pay-as-you-go terms, and demobilise from the vessel by December 2020.

As Reach originally had chartered the Topaz Tiamat for a firm period lasting until August 2021, the vessel has in accordance with IFRS 16 been accounted for as a right of use asset, with a corresponding lease liability. The accounting implications of the revised charter agreement are that 1) total assets will be reduced by approximately NOK 90 million, 2) the deconsolidation of Topaz Tiamat will result in a one-off accounting gain, and 3) in accordance with the original charter agreement, P&O Maritime Logistics will purchase the launch and recovery system ("LARS") that Reach has installed onboard the Topaz Tiamat for approximately NOK 25 million.

With this new charter agreement in place, we have made a substantial improvement to our financial robustness and cost position for the upcoming winter season. However, we need to find a replacement vessel for the two ROVs currently onboard the Topaz Tiamat for 2021 and beyond, but we believe this is a good time for finding a competitive vessel replacement for the coming years."

The Company has agreed a 2 year contract with 2 yearly options with Total E&P do Brazil for the vessels "Siem Atlas" and "Siem Giant". Both vessels will commence the contract in September 2020 in direct continuation of present contract.

GC Rieber Shipping: New contract, extending charter for crew-boats Polar Baikal and Polar Piltun

GC Rieber Shipping has through its 50/50 joint venture, co-owned with Russian partner Prisco entered into new 1+1 year charter agreements with Sakhalin Energy Investment Company Ltd (SEIC) for the two crew-boats "Polar Baikal" and "Polar Piltun".

The operations under the new agreements will commence in June 2020. The crew boats will be operating in the Sea of Okhotsk, Sakhalin in Russia. The crew boats are operated by the joint venture ship management company in Russia.

This is the second time the charter has been renewed. The vessels were originally purchased and modified by GC Rieber Shipping and Prisco back in 2009, initially entering a six-year charter with SEIC. The agreement was extended in 2015 for another five years. The new contract is for one firm season, 2020, with an option to extend for the 2021 season.

Reference is made to the stock exchange notice 17 January 2020, where it wasannounced that GC Rieber Shipping through its 50/50 joint venture, co-owned with Russian partner Prisco, had entered into new 1+1 year charter agreements with Sakhalin Energy Investment Company Ltd (SEIC) for the two crew-boats "Polar Baikal" and "Polar Piltun".

SEIC has exercised its 1-year option for "Polar Piltun", making the charter firm through 2021. "Polar Baikal" will finish her charter in 2020.
