EIOF – Enters into Memorandum of Agreement for sale of the CSV Viking Neptun

Eidesvik Neptun AS, a subsidiary of Eidesvik Offshore ASA (“Eidesvik" or the “Company”), has on January 12, 2022 entered into a Memorandum of Agreement (“MoA) with Dredging, Environmental and Marine Engineering NV (“DEME”), for the sale of the CSV Viking Neptun. The MoA is expected to complete in the 4th Quarter of 2022, post completion of the ongoing contract with Havfram.

Based on the terms of the MoA, Eidesvik expects to reverse approximately MNOK 240 in previous impairments on the vessel in the 4th Quarter 2021 results. Further, at completion of the MoA in the 4th Quarter of 2022, Eidesvik expects to book a gain from the sale of approx. MNOK 150. In total, the expected reversal of previous impairments and expected gain from the sale will significantly increase shareholders’ equity in the consolidated accounts when the vessel is delivered to the buyer. In addition, Eidesvik maintains full rights to all earnings from the vessel until delivery to DEME is scheduled to take place in the 4th quarter of 2022. At completion of the MoA, Eidesvik’s liquidity position is expected to improve by approximately MNOK 330 from the sale.

As the MoA is scheduled to complete in the 4th Quarter of 2022, Eidesvik will continue to deliver safe and efficient operations under the contract with Havfram in 2022, as well as keeping the vessel well maintained during the period.

Eidesvik and DEME are also currently discussing potential alternatives for Eidesvik and/or its crew to provide management services to DEME for the vessel after completion of the MoA.

EIOF - Eidesvik Offshore awarded ship management agreement for Viking Neptun​

Eidesvik Offshore ASA (“Eidesvik”) has signed a ship management agreement (the “Agreement”) with DEME for the Construction Support Vessel Viking Neptun.

The Agreement has been awarded for two years, under which Eidesvik will provide full technical management, crewing and operation of the vessel.

Viking Neptun was built for Eidesvik in 2015. As announced in the stock exchange release of January 12, 2022, Eidesvik entered into a Memorandum of Agreement (“MoA”) with DEME for the sale of the vessel. The MoA is expected to complete in the 4th Quarter of 2022, post completion of the ongoing contract with Havfram. The Agreement will commence when Viking Neptun is delivered to DEME.

EIOF - Eidesvik Offshore completes sale of CSV Viking Neptun

Eidesvik Neptun AS, a subsidiary of Eidesvik Offshore ASA (“Eidesvik” or the “Company”), has today completed the sale of CSV Viking Neptun to Dredging, Environmental and Marine Engineering NV (“DEME”)

Eidesvik will recognize a gain on the sale of approximately MNOK 270. After debt repayment, the liquidity position is improved by around MNOK 340 from the sale.

Gitte Gard Talmo, President & CEO of Eidesvik commented:

“The sale of Viking Neptun substantially improves our balance sheet. Going forward Eidesvik will leverage the financial flexibility that the sale of Viking Neptun has created”.

As announced in the stock exchange release of August 11, 2022 Eidesvik has signed a two-year ship management agreement with DEME for Viking Neptun.

“We are very proud of the performance of Viking Neptun and its crew and look forward to continue the management of the vessel under DEME’s ownership”, said Talmo.

EIOF - Eidesvik Offshore awarded ship management agreement extension with DEME​

Eidesvik Offshore ASA (“Eidesvik”) has signed a three-year extension to its ship management agreement (“Agreement”) with Dredging, Environmental and Marine Engineering NV (“DEME”) for construction support vessel Viking Neptun. The Agreement includes a two-year option for further extension.

Eidesvik has provided full technical management, crewing and operation of Viking Neptun since December 2022. The Agreement extends the firm period to January 2027.
